Although, the process of representative office registration has been made hassle free by the government, there are certain guidelines mentioned below which need to be carefully considered.

The foreign companies intending to start a business in Singapore tend to opt for a representative office registration. It is a temporary setup by foreign companies, in order to gauge the business opportunities in the local market. A Singapore representative office has no legal status and it is considered as the legal extension of its parent company. It is not permitted to do any commercial activities. Instead, it indulges in market research and studies, before the foreign company decides about the full-scale operations in Singapore.

Key Features of Singapore Representative Office

  • The name of the representative office in Singapore must be the same as that of its parent company (foreign company).
  • The representative office may hire a small number of local employees as support-staff, in addition, it must employ an individual acting as a chief-representative of its parent company who needs to relocate to Singapore and monitor the activities.
  • Since the setup of the representative office is temporary in nature, ACRA (Accounting and Corporate Regulatory Authority), the governing authority of Singapore company registration has set the validity period of the initial registration as 1 year. It can be renewed annually to maximum of 3 years.
  • After 3 years, the representative office must transform itself into a subsidiary or a branch office in order to function in Singapore. Failing that it ceases to exist.

Guidelines and Documents Required for Representative Office Registration

In order to setup a representative office in Singapore, a foreign company must be an established entity for three years or more. In addition, it should have an annual sales turnover of more than S$250,000. After the incorporation, the representative office is not supposed to engage more than 5 employees as is stipulated by the ACRA. The following documents are required for the registration purpose:

  • Certificate of incorporation of the parent company.
  • A completed application form.
  • The latest annual reports and audited accounts of the parent company.
